    Name availability

    We check the Wyoming SOS registry for your proposed name. If taken, we propose three alternatives using a lexical-distance search over filed entities. You confirm.

    Constitution

    You upload a constitution (YAML) or pick from five templates: research DAO, investment fund, protocol treasury, autonomous agent, founder holding. We validate strictly — quorum, thresholds, reserve minimum, statutory floors.

    Articles of Organization

    We draft your Articles from the constitution: entity name, DAO LLC designation, registered agent (Orgs Wyoming, LLC), principal address. You approve the draft. No human lawyer touches it; our templates are the exact Wyoming SOS-required format.

  4. § IV

    Filing

    An Anthropic Computer Use agent opens the Wyoming SOS website, fills every field from your approved draft, pays the $100 filing fee, and captures the confirmation page. If the agent encounters an ambiguous state, it freezes and escalates to a human — it never double-files.

  5. § V

    EIN

    We obtain your Employer Identification Number from the IRS. If you're a US founder, we use the online SS-4 flow directly. For entities with only non-US principals or autonomous-agent principals, we use a partner filer (LLCStack.com) who we're migrating off in Q3 2026.

  6. § VI

    Operating Agreement

    We generate the Operating Agreement that turns your constitution into a binding document between members. This is the contract that enforces governance in court if it ever matters. Every member countersigns with their DID.

    Form 8832 (optional)

    If you've elected corporate tax treatment, we file Form 8832 with the IRS. Timing matters — the election must be within 75 days of formation to be retroactive.

    Active status

    Your entity is live. You receive a DID, API key, and a printable PDF bundle containing Articles, Operating Agreement, EIN letter, and the Wyoming SOS confirmation — ready for a bank visit.
